CRILS Academy is an online language academy providing Spanish-language education through digital courses, video lessons, educational materials, exercises, assessments, community features, and other learning resources.

Our educational programs are designed to support students in developing their Spanish-language skills. Individual learning outcomes vary depending on factors such as participation, study habits, practice, previous knowledge, and individual circumstances. We do not guarantee any specific level of fluency, proficiency, academic result, professional outcome, or time frame for achieving a particular result.

You must be legally capable of entering into a binding agreement in your jurisdiction to purchase a subscription or create an account independently.

If a learner is a minor, the account, purchase, or use of the Services must be authorized by a parent or legal guardian where required by applicable law.

When creating an account, you agree to provide accurate and current information and to keep your information up to date.

Your account is personal to you. You may not share, sell, transfer, or provide your login credentials to another person.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

CRILS Academy may provide access to its educational content through a recurring membership or subscription.

The specific courses, resources, community features, live activities, downloadable materials, or other benefits included in a membership may be described on the applicable sales, program, or checkout page.

As CRILS Academy develops, we may add, update, reorganize, replace, or remove particular lessons, resources, features, or materials when reasonably necessary to maintain or improve the educational experience.

A subscription provides access to the content and Services included in the applicable membership for as long as the subscription remains active, subject to these Terms.

Paid memberships are billed on a recurring basis according to the billing interval and price displayed to you before purchase.

Unless otherwise stated at checkout, subscriptions automatically renew at the end of each billing period until canceled.

By purchasing a recurring subscription, you authorize our payment processor to charge the payment method you provide for the applicable subscription price and any properly disclosed applicable taxes or charges on each renewal date until the subscription is canceled.

Prices are displayed in the currency indicated at checkout. CRILS Academy currently intends to offer its primary membership in U.S. dollars (USD).

You are responsible for maintaining valid and current payment information.

If a payment cannot be successfully processed, access to some or all Services may be suspended or terminated in accordance with the applicable payment and platform procedures.

You may cancel your subscription to prevent future renewals.

Cancellation stops future recurring charges but does not ordinarily terminate access immediately. Unless otherwise stated, you may continue accessing the membership until the end of the billing period for which you have already paid.

After that billing period ends, access to subscription-only courses, materials, community features, and other membership benefits may end.

Instructions for cancellation will be made available through the applicable account, subscription, or support process.

Cancellation does not automatically entitle you to a refund for amounts already paid. Refund eligibility is governed by Section 6 below and applicable law.

48-Hour First-Purchase Refund Guarantee

CRILS Academy offers a full refund if a student requests cancellation and a refund within 48 hours of their first membership purchase.

This guarantee applies to both monthly and annual memberships and is available only once per student. It does not apply to subscription renewals or subsequent purchases after a previous membership has been canceled or refunded.

Students may request a refund by contacting support@crilsacademy.com within 48 hours of their initial purchase.

Subscription Renewals and Other Refunds

After the initial 48-hour guarantee period, subscription payments are generally non-refundable for changes of mind, unused membership time, or decisions to discontinue learning.

Renewal payments are generally non-refundable unless otherwise required by applicable law.

We do not ordinarily issue prorated refunds for unused portions of a billing period.

Billing Errors and Service Issues

If you believe you have been charged incorrectly, charged more than once, or have experienced a significant service issue attributable to CRILS Academy, please contact support@crilsacademy.com so we can investigate and provide an appropriate resolution, including a refund where warranted.

Refund Processing

Approved refunds will generally be returned to the original payment method. The time required for the funds to appear depends on the payment processor and financial institution.

When a full refund is issued, access to the associated membership and its benefits, including courses and community features, may be terminated.

Applicable Consumer Rights

This refund policy does not limit or replace any mandatory cancellation, withdrawal, refund, or other consumer rights available under applicable law. Where applicable law provides greater protection, those rights will prevail.

Unless otherwise indicated, the courses, videos, recordings, lessons, books, PDFs, worksheets, exercises, assessments, graphics, photographs, illustrations, audio, text, branding, logos, website content, and other original materials made available through CRILS Academy are owned by or licensed to LOPROD ACADEMY LLC and/or the applicable content creator and are protected by applicable intellectual property laws.

Your subscription or purchase gives you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the applicable materials for your own personal educational purposes.

Purchasing or accessing our Services does not transfer ownership of any intellectual property to you.

Unless we provide prior written authorization, you may not:

• Copy, reproduce, republish, or redistribute our educational materials.

• Share course videos, books, PDFs, worksheets, assessments, or other protected materials with people who do not have authorized access.

• Sell, sublicense, rent, or commercially exploit our content.

• Record, download, or distribute content when downloading or recording has not been expressly permitted.

• Remove copyright, trademark, or other proprietary notices.

• Create unauthorized copies or substantially reproduce protected materials for another course, product, website, business, or educational service.

• Provide another person with access to your membership or account.

Permitted downloads, where offered, are provided for your personal educational use and remain subject to these Terms.

Unauthorized copying, screen recording, downloading, reproduction, distribution, file sharing, resale, public display, publication, or uploading of CRILS Academy content to websites, social media platforms, cloud storage, file-sharing services, course-sharing websites, artificial intelligence systems, or any other third-party platform is strictly prohibited unless expressly authorized in writing by LOPROD ACADEMY LLC.

We reserve the right to investigate suspected unauthorized use, suspend or terminate access, issue takedown requests, and pursue available legal remedies when CRILS Academy content is copied, distributed, sold, or otherwise used without authorization.

CRILS Academy may provide community areas, discussions, comments, live sessions, or other interactive features.

When participating, you agree to communicate respectfully and not to harass, threaten, intimidate, or abuse other users; publish unlawful, discriminatory, defamatory, obscene, or intentionally harmful material; impersonate another person; distribute spam or unauthorized advertising; upload malicious software or attempt to interfere with the platform; infringe another person's intellectual property or privacy rights; or use the community for unauthorized commercial solicitation.

We may moderate or remove content and may restrict or terminate access when reasonably necessary to protect users, the academy, or the integrity of the Services.

We may suspend or terminate an account or access to Services if a user materially violates these Terms, engages in fraud, shares unauthorized access, infringes intellectual property rights, abuses other users, attempts to compromise the platform, or uses the Services unlawfully.

Where reasonably appropriate, we may provide notice or an opportunity to correct the violation before termination.

Termination for a material violation of these Terms does not automatically create a right to a refund, except where required by applicable law.

CRILS Academy relies on third-party providers to operate portions of its Services.

These may include, among others, LearnWorlds for the learning platform and Stripe for payment processing, as well as providers used for communications, analytics, video conferencing, marketing, or other operational functions.

Your interaction with certain third-party services may also be governed by those providers’ applicable terms and privacy policies.

We are not responsible for outages, interruptions, changes, or actions of independent third-party providers that are outside our reasonable control.

We aim to keep CRILS Academy and its educational Services available and functioning properly. However, uninterrupted or error-free availability cannot be guaranteed.

Access may occasionally be interrupted because of maintenance, updates, technical problems, internet failures, third-party service interruptions, security issues, or circumstances outside our reasonable control.

We may modify or temporarily suspend parts of the Services when reasonably necessary for maintenance, security, legal compliance, or improvement of the platform.

Our website or Services may contain links to third-party websites, applications, resources, or services.

These links may be provided for convenience or as part of the educational experience. Unless expressly stated otherwise, we do not control and are not responsible for the content, availability, security, or privacy practices of independent third-party websites.

The Services and educational content are provided for language-learning and educational purposes.

To the extent permitted by applicable law, the Services are provided without guarantees regarding specific learning results, uninterrupted availability, or suitability for every individual purpose.

Nothing in our educational content should be interpreted as professional legal, financial, medical, or other regulated professional advice.

To the fullest extent permitted by applicable law, LOPROD ACADEMY LLC and CRILS Academy will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Services.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Nothing in these Terms is intended to waive or restrict consumer rights that cannot legally be waived.

Your use of CRILS Academy is also subject to our Privacy Policy and Cookie Policy.

Those policies explain how personal information and cookies or similar technologies are handled in connection with the website and Services.

We may change the features, content, or pricing of our Services from time to time.

Any pricing change affecting a recurring subscription will be communicated as required by applicable law and will not be applied retroactively to amounts already paid.

Where required, users will receive notice before a new subscription price applies to a future renewal.
Founding Member Pricing

Students who purchase a membership under a founding member offer will retain the applicable founding member subscription price for as long as that subscription remains continuously active, subject to applicable law.

If a founding member cancels their subscription and later purchases a new membership, the previous founding member price will not automatically be reinstated. The pricing available at the time of the new purchase will apply.

We may update these Terms from time to time to reflect changes to our Services, business practices, technologies, or legal requirements.

When we make changes, we will update the “Last updated” date at the top of this page.

Where required by applicable law, we will provide additional notice or obtain consent before material changes take effect.

These Terms are governed by the laws applicable to LOPROD ACADEMY LLC in the State of Florida, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in a user's jurisdiction apply regardless of this provision.

Nothing in this section deprives a consumer of protections or rights that cannot lawfully be excluded under applicable law.

20. Membership Plans and Included Benefits

CRILS Academy offers access to its Complete Spanish Program through monthly and annual subscription options.

Both subscription options provide access to the same educational program and membership benefits, unless a specific offer expressly states otherwise.

Membership benefits may include self-paced video lessons, digital educational materials, assessments, learning resources, community participation, and live educational activities when available.

The monthly and annual plans differ primarily in their billing frequency and applicable subscription price, as disclosed at checkout.

Membership access is provided for the duration of the applicable paid subscription period, subject to these Terms and any mandatory rights under applicable law.

CRILS Academy may update or expand its educational resources over time. The availability and scheduling of live activities may vary and are not guaranteed unless expressly included in a specific offer.

21. Digital Access and International Consumer Rights

CRILS Academy provides educational services and digital learning content through an online platform. Access to purchased membership benefits generally begins after successful payment and account activation.

Students acknowledge that certain digital content and educational services may become available immediately upon purchase.

Depending on the student's country or region of residence, additional consumer protection laws may apply to online purchases, digital content, recurring subscriptions, cancellation, and withdrawal rights.

Nothing in these Terms is intended to exclude, restrict, or waive any mandatory consumer rights that cannot legally be limited by contract.

Where applicable law requires additional disclosures, express consent, confirmation, or withdrawal procedures before or after providing digital content or services, CRILS Academy will comply with those requirements.
